ARTICLES OF COOPERATION OF THE DOLEFIL AGRARIAN REFORM BENEFICIARIES COOPERATIVE (DARBC)

KNOW ALL MEN BY THESE PRESENTS:

We, the undersigned, Filipino citizens and resident of the Philippines, have on this day voluntarily associated ourselves for the purpose of forming a primary multi-purpose agri-based cooperative under the laws of the Philippines, particularly R.A. 6938.

AND WE HEREBY CERTIFY:

ARTICLE I - NAME OF THE COOPERATIVE

That the name of cooperative shall be DOLEFIL AGRARIAN REFORM BENEFICIARIES COOPERATIVE (DARBC).


ARTICLE II - OBJECTIVES AND PURPOSES

PRIMARY

That the objectives of purposes for which this cooperative is formed are:

1. To develop an appropriate system of land tenure, land development, land consolidation or land management in areas covered by agrarian reform.

2. To coordinate and facilitate the dissemination of scientific methods of production and provide assistance in the storage, transport, and marketing of farm products for agrarian reform beneficiaries and their immediate family, hereinafter referred to as “beneficiaries.”

3. To provide financial facilities to beneficiaries for provident or productive purposes at reasonable cost.

4. To arrange and facilitate the expeditious transfer of appropriate and suitable technology to beneficiaries and marginal farmers at the lowest possible costs.

5. To provide social security benefits, health, medical and social insurance benefits and other social and economic benefits that promote the general welfare of the agrarian reform beneficiaries and marginal farmers.

6. To provide non-formal education, vocational/technical training, and livelihood programs to beneficiaries and marginal farmers.

7. To act as channels for external assistance and services to the beneficiaries and marginal farmers.

8. To undertake a comprehensive and integrated development program in agrarian reform and resettlement areas with special concern for development of agro- based, marine-based, and cottage based industries.
9. To represent the beneficiaries on any matters that affect their interest.

10. To engage in pineapple and other agricultural crop production and marketing.

11. To engage in food sourcing, processing, and marketing.

12. To engage in wood products and native handicrafts.

13. To engage in bank-alike services.

14. To engage in real estate leasing and development.

15. To operate Trucking, gasoline station, and other transport business.

16. To engage in Manpower and allied services, subject to government rules and regulations.

17. To engage in Fabrication and other engineering services.

18. To operate a Feed mill and market the products.

19. To engage in Sand and gravel quarrying.

20. To operate Hardware business.

21. To engage in Organic fertilizer and marketing.

22. To operate Recreation and physical fitness facilities.

23. To engage in importation, exportation, and trading of commodities, subject to compliance to certain requirements imposed by appropriate government agency.

24. To engage in restaurant and catering services business.

25. To engage in fattening and dispersal of livestock and poultry such as but not limited to goats, pigs, cattle and chicken.

26. To undertake such other economic or social activities as maybe necessary or incidental in the pursuit of the foregoing purposes.

SECONDARY

• To encourage thrift and savings mobilization among the members for capital formation.

• To promote the cooperative as a way of life for improving the social and economic well being of the people.

• To do any related activity for members self-government, improve social and/or economic well-being under a truly just democratic society.

• To work with the cooperative movement, non-government and government organizations/entities and development of cooperatives and in carrying out government policies.

• To undertake other activities for the effective and efficient implementation of the provision of the Cooperative Code and the Comprehensive Agrarian Reform Law(CARL).

In the furtherance of and not in limitation of the general powers conferred by the laws of Philippines and the objectives and purposes set forth, this cooperative shall have following powers:

1. To draw, make, accept, endorse guarantee, excuse and issue promissory notes, mortgage, bills of exchange, drafts, warrants, certificates and all kinds of obligations and instruments in connection with and in furtherance of business operations.

2. To issue bonds, debentures and other obligations of the cooperative, to contract indebtedness and to secure the same with mortgage or deed of trust or pledge or lien on any or all of the real and personal properties of the cooperative.

3. To acquire facilities either by or through construction, purchase, lease, bequest or donation from social and foreign sources.

4. To operate a foundation to serve as its social-responsibility arm.

ARTICLE III - TERM OF EXISTENCE

That the term which this cooperative shall exist is FIFTY (50) years reckoned from its original date of registration.

ARTICLE IV - AREA OF OPERATION

That the area of operation of the cooperative shall be in the province of South Cotabato, General Santos City and Sarangani Province, and its principal office shall be located or established at DARBC Complex, Cannery Site, Polomolok, South Cotabato.

ARTICLE VI - COMMON BOND OF MEMBERSHIP

That total membership of this cooperative is open to all regular rank and file workers of Dolefil Philippines, Inc.- Pineapple Division as of June 15, 1988 and who applied for and have qualified as potential CARP beneficiaries as determined by DAR, pursuant to Section 8 and 22 of R.A. 6657, or the qualifies heir of the original beneficiaries in the area of operation as defined and delimited in Article IV hereof who are of legal age, with capacity to contract or heads of the families.

ARTICLE VIII - AUTHORIZED CAPITAL AND PAR VALUE

That the authorized capital of this cooperative is FIVE HUNDRED MILLION PESOS (Php 500,00,00.00), and said capital is divided into FIVE MILLION (Php 5,000,00) common shares with voting rights with par value of ONE HUNDRED PESOS (Php 100.oo) per share.

ARTICLE IX - SUBSCRIBE CAPITAL AND PAID-UP

That the authorized common share capital which has been actually subscribed is ONE HUNDRED TWENTY-FIVE MILLION PESOS (Php 125,000,000.00) and actual paid up share is Fifty Seven Million Four Hundred Thousand Fifty Pesos. The following members have subscribed and paid for the number of share and amount of share set forth after their respective names:

Ms. Cynthia B. Belarma has been elected as Treasurer of the cooperative to act as such his/her successor is duly appointed and qualified in accordance with the by-laws and that as such Treasurer, he/she has been authorized to receive for the cooperative and to issue receipts in the name of the cooperative for all subscription/shares paid in by the subscriber members, including their respective membership fees.
